AFRICAN DAWN ANNUAL REPORT 2017 NOTICE OF ANNUAL GENERAL MEETING OF SHAREHOLDERS continued On a show of hands, every person present and entitled to exercise voting rights shall be entitled to one vote, irrespective of the number of votes that person would otherwise be entitled to exercise. On a poll, every holder of ordinary shares shall be entitled to one vote per ordinary share held. Shareholders who have dematerialised their shares, other than those shareholders who have dematerialised their shares with “own name” registration, should contact their Central Securities Depository Participant (“CSDP”) or broker in the manner and time stipulated in their agreement: • to furnish them with their voting instructions; or • in the event that they wish to attend the meeting, to obtain the necessary authority to do so. Shareholders or their proxies may participate in the meeting by way of a teleconference call and, if they wish to do so: • must contact the Company Secretary: alun@statucor.co.za or +27 21 460 6300; • will be required to provide reasonably satisfactory identification; and • will be billed separately by their own telephone service providers for their telephone call to participate in the meeting. Please note that shareholders or their proxies will not be entitled to exercise voting rights at the meeting by way of teleconference call; a shareholder or proxy has to be physically present at the meeting in order to vote. 96 VOTING EXCLUSIONS Equity securities held by a share trust or scheme, and unlisted securities will not have their votes taken into account at the Annual General Meeting for the purposes of resolutions proposed in terms of the JSE Listings Requirements. PROOF OF IDENTIFICATION REQUIRED In terms of the Companies Act, any shareholder or proxy who intends to attend or participate at the Annual General Meeting must be able to present reasonably satisfactory identification at the meeting for such shareholder or proxy to attend and participate at the Annual General Meeting. A green bar-coded identification document issued by the South African Department of Home Affairs, a driver’s licence or a valid passport will be accepted at the Annual General Meeting as sufficient identification.
